GTEC to acquire SGS

MCLEAN, Va., Nov. 5 (UPI) -- Virginia's Global Defense & Technology Systems is acquiring Signature Government Solutions LLC to enhance its intelligence sector capabilities.

Global Defense, or GTEC, said it has entered into a definitive agreement with SGS's parent company, Signature Consultants, to buy the business for $52 million in cash.

"The addition of SGS into GTEC's portfolio immediately adds new depth to our capabilities and customer footprint within the U.S. intelligence community, especially when combined with the cyber and intelligence expertise brought to us with our acquisition of Zytel Corp. last month," said John Hillen, GTEC's president and chief executive officer.

"SGS's core competencies and past performance in information systems architecture, cybersecurity and network engineering reinforce our ambition to be the leading mid-sized defense technology company that delivers comprehensive, mission-critical solutions to support the most pressing needs of our national security clients."

GTEC said it had secured commitments for a $100 million revolving credit facility to finance the transaction, which is subject to customary closing conditions, including Committee on Foreign Investment in the United States approval.

The new revolving credit facility replaces its current $50 million revolving credit facility.

Both companies have headquarters in Virginia.
