UCB offers $5.63 billion for Schwarz Phama

BRUSSELS, Sept. 25 (UPI) -- UCB SA, the Belgian drugmaker, is offering $5.63 billion for Germany's Schwarz Pharma AG.

The friendly stock-and-cash deal would create a biopharmaceutical conglomerate with annual sales of more than $4.21 billion and with a research and development budget of $983 million, the Times of London reported Monday.

Schwarz Pharma will recommend the offer to its shareholders.

Upon completion of the merger, the company will retain the UCB name and its Brussels headquarters.
